Bury are to be deducted 12 points by the English Football League after the club's creditors approved a rescue plan to clear some of the Shakers' debts.

Shakers owner Steve Dale put forward a Company Voluntary Arrangement (CVA) proposal in June which would see the club's football creditors paid in full.

Unsecured creditors, including HMRC, will be paid 25% of the money owed.

A CVA qualifies as an "insolvency event" under EFL rules but the League One club have seven days to appeal.

In a statement issued on Thursday, Dale said the CVA would mean the club's "future is secured".

He said: "We have worked tirelessly to achieve the result today whilst taking a lot of flak.

"Some might say our methods were questionable but we can all pass comment with hindsight, my job was to save Bury FC and that's done. We have other hurdles but the main one is complete."

Meanwhile, CVA nominee Steven Wiseglass said the agreement "hopefully secures a brighter future" for the Shakers.

"The agreement means the club avoids going into administration or liquidation, and it provides a degree of financial certainty in that its historic debts will be dealt with," Wiseglass added.

The deduction means Bury join local rivals Bolton Wanderers in starting the season on -12 points after the Trotters went into administration in May.

Bury are due to reappear in the High Court later in July after a winding-up petition brought by HM Revenue & Customs over an unpaid tax bill was adjourned for a third time.

The Shakers are looking for new ownership after Dale put the club up for sale in April.

I'm a bit worried about the purchase by Dale of historic debt and his attempts to sell it at a hefty profit. I'm not convinced that due diligence will be straightforward, but we will see.

It rather underlines that the due diligence that the EFL did about Dale when he bought the club was woefully inadequate.

They might not be out of the woods just yet, and the EFL statement of a few minutes ago was carefully non-committal.

A company which bought a £7m debt owed by Bury for £70,000, and was then able to wield a crucial vote in favour of the club’s company voluntary arrangement (CVA), is reported to be owned by the partner of the daughter of Steve Dale, the club’s owner.

The MP for Bury North, James Frith, has called for an investigation into the sale of the debt to the company, RCR Holdings, which was formed on 16 July, two days before the meeting at which it then voted through the CVA.

RCR Holdings, registered to a private house address in Chadderton, Oldham, is wholly owned by Kris Richards, 41, who is also the sole director. Many Bury supporters immediately identified him as the partner of Dale’s daughter, then BBC Radio Manchester reported on Thursday that Richards had confirmed that to its reporter, Mike Minay.

Richards did not respond to a call or message from the Guardian to confirm it, nor to explain how the RCR deal came about or where the money to buy the debt came from. Dale repeatedly declined to answer the Guardian’s question about whether Richards is his daughter’s partner.

Dale’s CVA for Bury, who declared they were unable to pay their debts, and face a threat of expulsion from the EFL on Saturday, proposed paying “non-football” creditors a quarter of the total £4m they were owed. A meeting to approve it was adjourned on 9 July and rescheduled for 18 July. On 16 July RCR Holdings was formed, with Richards as the sole director and owner of its £100 share capital.

Two days later at the creditors’ meeting, the accountant supervising the CVA, Steven Wiseglass, announced that RCR Holdings had bought a debt of £7.1m owed by Bury to Mederco Ltd, a property company owned by the previous Bury owner, Stewart Day, which is now in administration. The Mederco administrators, the accountants Leonard Curtis, based in Leeds, this week reported to that company’s creditors that the £7m debt was sold to RCR for £20,000, rising to £70,000, one-hundredth of its value.

The weight of the £7m debt proportionate to the money owed to other creditors enabled Richards’ company to have a defining bearing on the vote to pass the CVA.

At the meeting a representative of a law firm Kay Johnson Gee, which had bills of £16,251 unpaid by Bury and voted against the CVA, asked if RCR was seeking a “dividend” alongside other creditors, of a quarter of the £7m debt it had bought for £70,000. RCR’s representative appeared to indicate that the company would not seek a dividend if it meant more money was required to fund the CVA. However, Dale told the Guardian on Thursday that in fact RCR is indeed seeking from the Bury CVA a quarter of the £7m: £1.75m, for a debt bought for £70,000.

Frith has called for an investigation into the RCR purchase of the debt, in a letter to the EFL chair Debbie Jevans this week, in which he said it “raises serious questions as to the relationship between Mederco (and its administrators), RCR Holdings and the current owner [Steve Dale].”

In a statement to the BBC, Dale declined to comment specifically on the RCR purchase or on whether Richards is his daughter’s partner, but said: “All dealings with the CVA have been done in a correct and proper manner.”

Last week the former Bury club secretary Jill Neville wrote to Dale when she resigned after 35 years’ service, calling on him to surrender ownership and control immediately so that the club could remain in the EFL and be saved.

The EFL Board remains concerned at the ongoing delays at Bolton Wanderers that have prevented the conclusion of the various sale agreements and documents that would result in the Club’s exit from administration.

Having been previously advised in writing on the morning of the start of the season that the deal was all but agreed and only awaiting completion signatures, there has been constant contradictory information and no finalisation of the deal.

The current situation cannot continue and the time to resolve the current impasse is now fast running out. Whilst it is understood as recently as yesterday that the parties were once again in a position to complete the formalities, there appears to be additional frustrating delays that are only serving to have a negative and detrimental impact.

The EFL urges all parties to communicate and come together to find the necessary and final solutions so that Bolton Wanderers can start to plan for its long term future and end months of uncertainty for all those associated with the Club, in particular the players, staff, supporters and the local Bolton community.

If a successful conclusion to a sale is not found or there are no credible plans for the Club to continue the season in administration by the planned Board meeting at 5pm on Tuesday 27 August 2019, then the EFL Board will consider lifting the suspension on the Notice of Withdrawal of the Club's membership of the League which was issued when the Club entered into administration in May 2019.

Bury are yet to play this season.

"If we get to that point and there is 1% outstanding, it would depend what that 1% is," said Debbie Jevans.

Speaking on BBC Radio 5 Live's Sportsweek on Sunday, Jevans added: "They [the prospective buyer] have demonstrated to us enough source of funding.

"There was enough credible information before the board to allow this extension till Tuesday, but in doing that, no more games have to be postponed."

The initial deadline was 23:59 on Friday and analytics company C&N Sporting Risk has said it was "disappointing" the extension granted was not longer.

It added that its main legal adviser is unavailable until Wednesday but Jevans says she understands that, although he has work commitments in Lausanne, he is "still available to give advice on the phone and by email".

"There is enough time, if all parties want to do a deal by then," added Jevans. "We've got many examples where clubs have changed hands in a very short period of time and we see no reason why this can't happen by Tuesday.

"This cannot go on for weeks and weeks and weeks. We are not going to postpone any more matches and we see no reason why they cannot reach an agreement by that time."

The Shakers have not played any of their first six games of the season. They are next due to host a league match against Doncaster Rovers on Saturday.

Bolton takeover delay 'incredibly frustrating'

Bury's local rivals Bolton Wanderers have also been set a deadline of 17:00 on Tuesday to be sold or provide "credible plans" they can complete this season.

The League Once club - in administration since May - have been the subject of a takeover bid by Football Ventures, but if a deal is not completed in time Jevans has said the EFL will serve notice of withdrawal of the club's membership of the league.

She said: "What is really disappointing is that yesterday [Saturday] morning, our understanding was that all the parties involved had signed off and the deal was going to be completed yesterday morning.

"Then something happened, a signature wasn't provided and therefore it was postponed again. This is incredibly frustrating. It has been going on for months.

"The EFL did not issue the withdrawal notice months ago when the club went into administration, and it's now got to the point where you say this cannot go on. But on Tuesday at 5pm, the board will consider what action to take if there isn't a deal in place."

The latest takeover deal to buy Bolton has collapsed with administrators warning the "process of closing down the company" could begin as early as Wednesday.
